Translink acted as the financial advisor to the shareholders of RTC on the sale to FOS Group

Translink Corporate Finance Italy, led by David Strempel and supported by Jeh Patel, advised the shareholders of RTC S.p.a., an SME based in the province of Verona operating in the Information Technology sector, on the sale of 100% of their stake in the company to FOS S.p.a.,  a Genoa-based IT consulting and research group listed on the Euronext Growth Milan segment of the Italian Stock Exchange and active in the design and development of digital services and products for large industrial groups and public administration.

FOS strengthens national positioning with strategic acquisition

As of 31 December 2023, RTC reported a turnover of €6.9 million, an EBITDA of €0.5 million, corresponding to approximately 7.0% of turnover, a net profit of €0.2 million, a Net Financial Debt of negative (cash) €1.5 million, and a workforce of approximately 60 employees.

The transaction represents a strategic step for FOS, expanding its technical expertise and offering in the areas of managed services, IT management and CRM applications and marking its entry into the strategic market of the North-East. The transaction will activate important operational and commercial synergies, optimise efficiency and strengthen recurring revenues and is a key milestone for FOS in consolidating its national positioning by pursuing sustainable and profitable growth and guaranteeing long-term value for stakeholders.
